Seversoft Technologies provides high-performance software engineering, AI-powered systems, fintech infrastructure, web and mobile application development, cloud hosting, API tooling, and related consulting and technical services ("Services"). The specific scope of services is defined in individual project agreements or service orders agreed upon between Seversoft and the client.

3. Use of Our Services

3.1 Permitted Use

You agree to use our Services only for lawful purposes and in a manner that does not:

• Violate any applicable local, national, or international law or regulation
• Transmit any harmful, offensive, or infringing content
• Impersonate any person, entity, or organisation
• Infringe the intellectual property rights of Seversoft or any third party
• Introduce malicious software, viruses, or harmful code into our systems
• Interfere with or disrupt the Site, Services, or our infrastructure
• Attempt unauthorized access to our systems, client data, or third-party platforms
• Engage in fraudulent activity or misrepresentation

We reserve the right to suspend or terminate your access immediately if you violate any of these terms.

4. Services, Orders and Payments

4.1 Orders and Proposals

Any quote, proposal, or order for Services is subject to our acceptance. We reserve the right to accept or reject any order at our discretion. Upon acceptance, a binding agreement for the specific Services will be formed, incorporating these Terms.

4.2 Payment Terms

All project engagements are governed by a separate project brief, proposal, or service agreement. Payment terms, deliverables, timelines, and milestones are defined within those documents. Seversoft reserves the right to pause or terminate work on a project if agreed payment terms are not met.

All fees are quoted in the applicable currency and are due as outlined in the project agreement. Late payments may incur applicable fees. Refunds, if applicable, are subject to the terms of the relevant service agreement.

4.3 Delivery and Acceptance

Services will be delivered according to the timeline specified in the project proposal or agreement. You are responsible for reviewing deliverables promptly. Acceptance is deemed granted if no written objections are raised within a reasonable review period as agreed in the project agreement.

5. Intellectual Property

5.1 Our Intellectual Property

All intellectual property created by Seversoft — including but not limited to code, design systems, frameworks, proprietary tools, and platform content — remains the property of Seversoft Technologies unless explicitly transferred to the client through a signed written agreement. We grant you a limited, non-exclusive, non-transferable license to access and use our Services in accordance with these Terms.

5.2 Ownership of Deliverables

Upon full payment of all applicable fees, clients receive ownership or a license to the custom deliverables (e.g., websites, applications, software code) as specified in the project agreement. Any pre-existing or third-party materials remain licensed to you and are not transferred.

5.3 User Content

You retain ownership of any content, data, or materials you provide to us during an engagement. By submitting such content, you grant Seversoft a limited, worldwide, royalty-free license to use, modify, and display it solely as necessary to deliver the agreed Services. We will not use your content for any other purpose.

6. Privacy

Your privacy matters to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Services. By using our Services, you acknowledge and agree to the terms of our Privacy Policy, which is incorporated into these Terms by reference.

7. Confidentiality

Both parties agree to treat as confidential any non-public information shared during the course of an engagement. Seversoft will not disclose your business data, project specifications, or proprietary information to third parties without your written consent, except as required by law.

8. Third-Party Services and Integrations

Our platforms and solutions may integrate with or rely on third-party services (e.g., payment gateways, cloud providers, APIs). Seversoft is not liable for the availability, performance, or changes in those third-party services. Clients are responsible for reviewing and accepting the terms of any third-party services used in their projects.

9. Limitation of Liability

To the fullest extent permitted by law, Seversoft Technologies shall not be liable for any indirect, incidental, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising from your use of our Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any direct damages shall not exceed the amount paid by you to Seversoft in the three (3) months preceding the event giving rise to the claim.

10. Warranties and Disclaimers

Seversoft provides Services on an "as is" and "as available" basis. While we strive to deliver reliable, high-quality engineering, we do not warrant that our Services will be error-free, uninterrupted, or fit for a particular purpose beyond what is expressly agreed in writing.

11. Modifications to Services and Terms

Seversoft reserves the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We may also update these Terms of Service periodically. Changes will be posted on this page with an updated date, and your continued use of our Services constitutes acceptance of the revised terms.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Africa. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Africa, unless otherwise agreed in writing.

11. Indemnification

You agree to indemnify, defend, and hold harmless Seversoft Technologies, its directors, employees, and contractors from and against any claims, liabilities, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any applicable law, your infringement of any third-party rights, or your misuse of our Services.

12. Termination

Either party may terminate a service engagement in accordance with the terms of the applicable project agreement. Seversoft reserves the right to terminate access to our Services immediately and without notice if you breach these Terms or engage in conduct that we determine to be harmful, fraudulent, or unlawful. Upon termination, your right to use the Services ceases immediately.

13. Miscellaneous

• These Terms constitute the entire agreement between you and Seversoft Technologies regarding your use of our Services.
• If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right.
• You may not assign your rights or obligations under these Terms without our prior written consent.
